Facilities & Grounds – Carl Coffman
§ Garage and Gazebo roofs – update Gazebo roofs were done. One roof left to go. The contractor and his team have been doing a good job, and will clean out gutters as well.
§ Pump station – update We have a scheduled date now, Tuesday July 11. Everything is looking good for the pump replacement project.
§ Solar Panel Project – update Solar panels are being installed. Transformer was upgraded July 5. The panels should be completed and activated by the end of the month.
o Fire, Security and Safety – George Heiskell
§ No wake zone violations and buoys. Multiple complaints from residents. Many of the violators are boaters who have just rented for the day. CW has identified SK Rentals as a big violator and called them. George will contact the sheriff to follow up on Rick’s email from last year. Norah has had an idea of writing a letter and giving to the gas stations and rental companies. Norah and Brad will write it up and George and CW will give to gas stations. (Letter is attached to the minutes.)
§ 30 letters went out. Next walk through will be after July 15. Most people have gotten algae off their decks. The ARC rejected a request for a house to be brought into a slip and remodeled in place but it didn’t meet the ARC requirements. The remodeling will be done elsewhere before the home is brought in.

o Issue regarding Deeds of Sublease – In previous month it was discussed that there are at least 5 slips without a recorded deed of sublease. One of those was up for sale and the new owners could not get a valid deed of sublease without a previous one being in place. (Our deed of sublease form is written in such a way that it requires an unbroken chain of transition of deeds of sublease from owner to owner back to the original sale of the slip.) The BOD met in closed session with our attorney to discuss this issue and also a conflict over garages that involves both the present and a past owner on the deed of sublease. Our attorney recommended that the BOD consider a resolution to create a new deed of sublease for all owners of a moorage space that will document the sublease between the owner and WHIMOA, who is the holder of the lease with the Marine Board. This would resolve future potential problems and make sure that the owner of each moorage space is the holder of the deed of sublease.
o Resolution: The BOD voted unanimously to accept the resolution. Attached and a hard copy will be sent to every owner.
o The By-Laws, CC&Rs and Rules committee will write up a possible new Deed of Sublease to be reviewed by our attorney.
o Violation & Adjudication – CW Taylor
§ None
o HOA dues – Continued discussion. The bookkeeper will come next month to discuss further.
o Summary report on closed session with attorney – Discussed above. The BOD met in closed session to consult with counsel, as allowed by the ORS governing HOAs. The meeting resulted in the resolution discussed above.
o Owners giving out password to website –CW will write a letter emphasizing the importance of keeping this information secure due to the private information of all the owners on the website.
o Concern re: business activity in fire lane outside of gate – A resident has reported that a business outside the gate has been sometimes spilling out into our fire lane. CW will talk to them and let them know they will be towed.
o Century Link letter re: long distance – We received a letter from Century Link regarding the phone line necessary for the gate and new charges for long distance services. It appears we are grandfathered in. Nancy will confirm.
o Travelers insurance letter – We received a letter from Travelers insurance that is not clear. Nancy will follow up.
o Membership can call or make online reports: There are numbers that owners can call if they want to complain about issues they believe are affecting quality of life in the moorage, including graffiti on sea wall, pot holes, people living in vehicles on the street, or abandoned autos.
