MINUTES OF THE MEETING OF THE BOARD OF DIRECTORS OF WEST HAYDEN ISLAND MOORAGE OWNERS ASSOCIATION

TIME & PLACE:  7:00 PM on Thursday, June 2, 2016at the Moorage Office (C-7) located at 2630 N. Hayden Island Drive, Portland, Oregon, 97217

Board Members Present:

• Call to Order

• The President called the meeting to order at 19:00 and determined there was a quorum with allmembers present.

• Reading & Approval of the Minutes of Previous Meeting

• The Secretary had e-mailed minutes from the previous meeting.

• Motioned, seconded and passed unanimously to approve the previous Board Meeting minutes.

• Treasurer’s Report

• All HOA payments received for May.
• May Water $6,302.99

• MTD @ 98.5% of budget.

• YTD @ 103.7% of budget.
•  Landscaping $1,400.00
  • No Invoice received - Accrued April paid May Landscaping similar to 2015 expense.
  • MTD @ 100.0% of budget
  • YTD @ 100.1% of budget
• Total Expenses
  • MTD Expenses 98.6% of budget
  • YTD Expenses 102.5% of budget
• May Cash Reserves are $473,743.18 with Schwab
  • Cash balance is $83,743.18
  • Tax & Insurance set-aside is $33,334.00 of the current cash balance
  • Purchased Bank of Baroda, .75%, 6/9/2017: $70,000.00
  • Purchased Safra Natl Bank New York, US, .75%,9/5/2017: $70,000.00

• Motioned, seconded and passed unanimously to accept this Treasurer’s Report.

• Old Business:  Standing Committee Reports

• Facilities & Grounds – Jim Pidgeon

§  Request for Electrical Mod At Abrams garage – Approved by BOD, cost to be paid by Abrams

·         Rules Committee will propose a formal Rule or CCR change to accommodate similar projects.

§  Critter Cams are in – 1 near stop sign & 1 at west garbage area.

§  Gate motor replacement cost - $3600  – Jim will get firm bid from proposal from Gate Vendor

§  Catch Basins need cleanout – Jim will coordinate with Landscaper

§  Spring work party – Signup sheets to be placed in Gazebos.

o   Fire, Security And Safety – Brad Pendergraft

§  Stop Sign issues, Speed bump status.

·         Numerous comments received by the board.

·         Some quite derogatory – For Example:

o   “BOD is out of control.”

o   “Why don’t we bring it to a vote from the Membership.”

o   “No one has been hurt, what’s the problem.”

o   “Speed bumps damage car’s suspension.”

·         Some worthwhile suggestions also.

·         General consensus from the BOD is as follows:

o   If the BOD is “Out of control”, did the comment come from anyone who has ever been on, or run for the BOD?

o   The BOD was elected to make this type of decision.  Imagine if we were to bring minutia like this to a full membership vote every time.

o   Do we need to get sued before we do something?

o   If a speed bump causes damage to your car suspension, maybe YOU are the one who needs to slow down.

·         The BOD has made its decision.  We looked at all options presented and still think placement of a speed bump just past the Stop is the most viable.

·         We also have a camera mounted near the Stop as well.
