MINUTES OF THE MEETING OF THE BOARD OF DIRECTORS OF WEST HAYDEN ISLAND MOORAGE OWNERS ASSOCIATION

TIME & PLACE:  7:00 PM on Thursday, June 6, 2013 at the Moorage Office (C-7) located at 2630 N. Hayden Island Drive, Portland, Oregon, 97217

Order Of Business

• Call to Order

• The 1^st Vice President called the meeting to order at 19:03 and determined there was a quorum with four of five members present.

• Reading & Approval of the Minutes of Previous Meeting
• The Secretary e-mailed minutes from the previous meeting.

• Motioned, seconded and passed unanimously to approve the previous Board Meeting minutes.
• Treasurer’s Report
  • Dues: All but one HOA dues are current. That owner and Treasurer agreed to bill double in June.
  • Water: May water, at $3,529 was 7% over budget for month, and 19% for YTD.
  • Landscaping: At $1,539 was 3% over budget for month, and -15% for YTD.
  • Total Expenses: 98% to budget YTD.
  • Cash reserves: $456,622.
    • Purchased two CDs ($60k) in May.
    • One $40k CD matured May 31^st and will be reinvested in June.
  • Trash:  Secretary reported on trash as Waste Mgmt increased billing 17% without prior notice.  Effective June 28^th, Portland Disposal will be service provider at a decreased price of $400 per month (WM was $567 before increase).
  • Motioned, seconded and passed unanimously to accept this Treasurer’s Report.

• Old Business:  Standing Committee Reports

o        Facilities & Grounds

§  Spring Clean-Up Day:  Jory announced a successful clean-up with pressure washing trash enclosures, gazebos and ramps, organizing moorage garage, painting red curb outside gate, planting in several areas and spraying the garages for spiders being accomplished.  CW Taylor arranged for scrap metal removal which minimized the impact of trash in the bins.  It was a great turn out, est. 34 persons, making many hands for light work, followed by burgers and dogs for the participants.

§  Ants:  Carpenter ants have been observed on the east ramp.  Jory met with a pest control contractor who formerly lived in another moorage and reviewed our options:

·         These are carpenter ants and may be nesting in the whaler boards.

o        $450 option, spray whalers on both sides, entire moorage.

o        $585 option, spray 3x, now, in a month and end of summer.

·         Moved, seconded and passed unanimously to accept 2^nd option. 

·         NOTE: Confirming with contractor the next day it was discovered that the $585 was not what we understood.  A subsequent vote by the BOD approved the $450 one-time spraying and will monitor results.

o   Garage Floors:  Jory met with Jim Pidgeon and determined we should test two garages for both effectiveness and pricing.

·         Testing to be done early summer to accommodate work later this summer/early fall.

·         BOD suggested Arkebauer and Stark garages, will confirm with those owners.

o        Fire, Security And Safety

§  Fire extinguishers: Nancy advised that fire extinguishers will undergo annual servicing June 10^th. 

§  If any require additional work ($$$) we will evaluate removing them as we currently have an excess of extinguishers.

§  Architectural Review

o   Boat in disrepair and unregistered has been removed from moorage.

o   House with antennae has removed two and promises to remove remaining two before deadline.

§  By-Laws, CC&Rs And Rules

o   No old business.

§  Violation & Adjudication

·         No old business.

• New Business
  • Electric cars: With Rick absent the topic was tabled for the month.  It was suggested that Rick review with Jory (professional engineer) upon his return as she has worked up some numbers.
  • Fire Marshal inspection:  Harbor Master, Ray Pratt, will perform inspection on June 11^th.  NOTE: Extinguishers to be serviced June 10^th.
    • Pressure washing:  Jory proposed following up on clean-up day with pressure washing the walkways at $1,716.  Moved, seconded and passed 3-1.

• Pump Station Lid painting:  The pump station’s lid is rusting and in need of painting.
  • Jory has one bid of $1,340 and, per BOD policy on bids over $1,000, will obtain at least one more.  Bulk of expense is removing rust and priming for paint.

• Bark Dust and Mulching:  It has been three years and is time to re-do.
  • Gerry Abrams attended meeting to provide details.
  • $5,778 to apply bark dust and mulch mixture, expense goes to reserves account.
  • Moved, seconded and passed unanimously.

• ARC Spring Dock Walk:  Clyde believes all committee members will be available to walk June 22^nd…will announce when confirmed.  (NOTE: We are now shooting for the 29^th).

• Key Cabinet:  Gerry brought a key cabinet for the moorage office, which he will hang near the door.  BOD to gather all keys, identify and tag.

• Adjourn:  Motioned, seconded and passed unanimously to adjourn meeting at 20:16.
