MINUTES OF THE MEETING OF THE BOARD OF DIRECTORS OF WEST HAYDEN ISLAND MOORAGE OWNERS ASSOCIATION

TIME & PLACE: 5:10 PM on Sunday, January 27, 2013 at the Jantzen Beach Village East clubhouse (community room), located at ~399 N. Hayden Bay Drive, Portland, OR, 97217.

Board Members Present:

• Mr. Rick Ruffo, 2^nd Vice President
• Ms. Ann Jacobsen, Treasurer

Board Members Absent:

• Ms. Nancy Lindgren, 1^st Vice President
• Mr. Charlie Arkebauer, Secretary

Order Of Business

• Call to Order; Determination of Quorum.

• The President called the meeting to order and announced that with 3 Board Members present, a quorum was established.

• Election of 2013 Officers.

• President:  Rick Ruffo

• Moved, seconded and passed unanimously
• 1^st Vice President:  Nancy Lindgren
  • Moved, seconded and passed unanimously
• 2^nd Vice President:  Jory Abrams
  • Moved, seconded and passed unanimously
• Treasurer:  Ann Jacobsen
  • Moved, seconded and passed unanimously
• Secretary:  Clyde Cornell
  • Moved, seconded and passed unanimously

• Approve/Indemnify the Previous Board of Directors (BOD).
  • New BOD approves and indemnifies the actions of the previous BOD
    • Moved, seconded and passed unanimously

• Reminder Date, Time, & Place for next Board Meeting.
  • Day – First Thursday in March (Mar 7, 2013)
  • Time – 1900 (7:00pm).
  • Place – Moorage Office.
