Determination of Quorum.
- The President called
the meeting to order and announced that with 5 Board Members present, a
quorum was established.
- Reading & Approval Of The
Minutes Of Previous Meeting
- The Secretary e-mailed
out minutes from the previous meeting.
- Moved, seconded
and passed unanimously to approve October’s Board Meeting minutes
- Noted that
November’s meeting was cancelled due to a power outage
- Treasurer’s Report – Pat
Buescher, Treasurer
- The Treasurer
announced that we were $700 over budget through October
- Water (+$505),
landscaping (+$420) and legal ($250) costs primary reasons
- Insurance expense
was lower (-$400) than budgeted
- YTD we are ($10,000)
under budget, lower maintenance and a flood insurance refund
- Accounts receivable is
off due to non-payment of dues from one slip
- Moorage has filed
a lien on this slip
- The slip and home
are believed to be in repossession
- That process may
result in the account being brought to current soon
- Schwab account balance
is $309k, following a transfer of $27,000 to checking to cover property
taxes now due
- Property taxes are
slightly higher than last year, $36k vs. $34k
- Internal controls
being implemented and considered
- President
retrieves and opens all mail, initials and dates each piece
- Our bank is unable
to limit payment amounts using our on-line bill pay
- Treasurer
suggests that BOD members regularly check account on-line for
transparency
- To bond the
treasurer is $250-500 per year for $50k bond
- BOD requests a
list of recommendations from Treasurer for consideration
- Water expense is
$3,340 over YTD, what can be done?
- Water meters to
check each slips usage
- Efficient toilets
- Flow meters to
check for leaks

water makes leak detection very difficult

is turning to dust, exposing aggregate underneath

provided at base of each ramp

throw out containers (plastic jugs) as we have ample supply for re-filling

Exit gate no longer sticks open, motor appears to be in good shape

Manufactured home park to east has had cars hit by thieves

encountered one resident who says the thieves are escaping through our moorage

Licensed and bonded contractors, not required by CC&Rs
o Moorage
attorney does not believe CC&Rs need to require, but that it is probably within
the rights of the moorage to do so

Another possibility is to place limitation on specific trades

Enforcement would be difficult and time consuming
o After
discussion, BOD agree to take no further action, that each slip owner is
responsible for their own actions

attorney had a few comments on execution and reasons for certain
background checks, but did not recommend any changes

the checks must be consistently applied

- Esther asked that a
memo regarding Oregon’s new disposal laws be posted, and they have as of
this writing
- Ramp Lighting
- Mike Maiden reports
that the project is complete, the ramps are brighter and safer
- New Business
- CW presented BOD with
a realtor’s sign that was removed from front of driveway
- This agent has no
current listings in our moorage
- Sign contained
flyers advertising land homes and homes at other moorages
- CW will contact
agent to advise her against this practice
- Suggested moorage
provide a single, permanent sign for agents with listings
- Steve will
refer to the Beautification Committee for review
- CW recommends that
“snow birds” and vacationers leave contact info and house keys with a
friend who will be here this winter, in case of another winter like last
year
- CW reminded us that
his and Steve’s board positions will be vacated this January
- Clyde to e-mail
and post notice, gather candidate names and create ballots for
voting later this month
- Reminder Date, Time, &
Place for next Board Meeting. This meeting will be proceeded by the Annual
Meeting of the General Membership of WHIMOA, which will take place at:

January (January 31, 2010) Superbowl is following Sunday.
