MINUTES OF THE MEETING OF THE BOARD OF DIRECTORS OF WEST HAYDEN ISLAND MOORAGE OWNERS ASSOCIATION

 

TIME & PLACE:  Sunday, April 17, 2005, Immediately following the General Membership Meeting (Approx. 3:05pm), At Oxford Suites, 12226 N. Jantzen Drive, Portland, Oregon, 97217

 

Board Members Present (In Alphabetical Order)

Board Members Not Present

 

Order Of Business

 

o        Mr. Steve Weisensee, as the Senior Member of the newly elected Board of Directors called the Meeting of the Board of Directors of West Hayden Island Moorage Owners Association (The Association) to order.

o        The Chair (Mr. Weisensee) announced that with four of the five Board Members present, a Quorum was established.

 

o        The Chair nominated Mr. John LeDoux for the Office of President.  The nomination was seconded, and other nominations for President were called for.  Hearing none, the Chair called for the vote of the Board to elect John LeDoux.  The vote was unanimous.

o        Mr Weisensee then relinquished Chairmanship of the Board of Directors to the newly elected President, Mr. John LeDoux.

 

o        The President then nominated the following Directors to Office.  All were elected by unanimous vote as follows:

o        For Secretary – Walt LeDoux

o        For Treasurer – Pat Buescher

o        For Vice President – Steve Weisensee

o        For Vice President – CW Taylor

 

 

 

 

 

 

“The Board of Directors of West Hayden Island Moorage Owners Association, being duly elected by it’s members, desires to place special emphasis on the enforcement of the Covenants, Conditions, Restrictions and Easements, better known as the CC&Rs, and

Whereas, the Association has promulgated a set of Covenants, Conditions, Restrictions and Easements (CC&R) which provide a means to affect common living conditions within our community, and

Whereas, these CC&Rs have not been strictly enforced by the preceding management organization, and

Whereas, many of the CC&Rs have been violated from time to time, and

Whereas, the Association desires to strictly enforce these CC&Rs for the common good of our association,

 

 

Now Therefore Be it Resolved

 

West Hayden Island Moorage Owners Association adopts a policy of strict enforcement of the CC&Rs as published and this resolution is to be considered the formal notification to the owners that the intent of these CC&Rs as interpreted by the Board of Directors will be fully enforced.”

 

§  It was Moved and Seconded to accept the Resolution.

§  The Discussion was called for.

·         The Secretary explained that the Resolution was not intended to act retroactively on decisions of the previous administration such as Architectural reviews that did not adhere to the CC&Rs.  Instead, it was intended to enforce those common restrictions that we all agreed to when we chose to join the Association.  A few examples sited were no trailers in the parking lot, no unleashed dogs, etc.

·         A few of the general membership expressed concerns as to the extent of the resolution.  The President further explained that the intent was not to force new ARC decisions on existing homes within the moorage.  Such homes would and should receive “grandfather” status and would not be required to be brought to a higher level of compliance than the previous administration had imposed.

§  The Question was called for.

§  The Resolution was voted on and passed unanimously by the Board.

RESOLUTION # 1

 

STANDING COMMITTEE RESOLUTION

Facilities and Grounds Standing Committee

 

Recitals:

 

      West Hayden Island Moorage Owners Association desires to institute a standing committee for the Facilities and Common Grounds owned by the Association within the guidelines of the By-Laws under Article 6,

 

      Whereas, the facilities and grounds belonging to the Association require from time to time, updating and maintenance, and

 

      Whereas, a committee to report on the conditions and status of the facilities and grounds will better facilitate making reasonable decisions concerning updates and maintenance, and

 

      Whereas, a committee will be better suited to make recommendations on the updating and maintenance of the facilities for board action,

 

Now Therefore Be it Resolved

 

West Hayden Island Moorage Owners Association establishes a Facilities and Grounds Standing Committee that shall be responsible for the following:

 

1.      Report on the state of the area known as the Facilities and Common Grounds to include, uplands, fences, lawns, gardens, driveways, gazebos and garages.

2.      Report on the state of the moorage facilities to include the East and West end ramps, pilings, walkways, and utilities.

3.      Report on the state of dredging requirements and dredging operations

4.      Report on state of connections of floating homes to the Facilities walkways, and utilities.

5.      Report on recommendations for the maintenance and upkeep of the facilities

6.      Report on recommendations to the By-Laws, CC&Rs and Rules Standing Committee, the development and updating, of a set of rules as authorized in 4.13 concerning the maintenance, upkeep, floating home connections and use of the Facilities and Grounds,

7.      Draft and present resolutions for adoption pertaining to the Facilities and Grounds.

 


 

RESOLUTION # 2

 

STANDING COMMITTEE RESOLUTION

Security, Fire and Safety Standing Committee

 

RECITAL:

 

 

      West Hayden Island Moorage Owners Association desires to institute a standing committee for Fire, Security and Safety within the guidelines of the By-Laws under Article 6,

 

      Whereas, the Association and moorage owners and guests require a safe moorage, the Association desires to institute a standing committee for Fire, Security and Safety, and

 

      Whereas, a committee to report on the Fire, Security and Safety issues seen or reported in the moorage facilitate, and

 

      Whereas, a committee will be better suited to make recommendations to the Board of Directors on changes required to ensure fire protection and prevention, security and safety within the moorage,

 

Now Therefore Be it Resolved

 

West Hayden Island Moorage Owners Association establishes a Security, Fire and Safety Standing Committee that shall do the following:

 

1.      Report on recommendations to the committee on By-Laws, CC&Rs and Rules, for the development and update as necessary, a set of rules as authorized in 4.13, concerning Fire, Security and Safety for the moorage.

2.      Conduct inspections within the moorage and report on the same concerning Fire, Security and Safety.

3.      Report on observed or reported hazards concerning Fire, Security and Safety.

4.      Draft and present resolutions for adoption, recommendations for improvement of the moorage Fire, Security and Safety.

 

 


 

RESOLUTION # 3

 

STANDING COMMITTEE RESOLUTION

            By-Laws, CC&R and Rules Standing Committee

 

RECITAL:

 

West Hayden Island Moorage Owners Association desires to institute a standing committee for By-Laws, Covenants, Conditions, Restrictions and Easements (CC&R) and Rules within the guidelines of the By-Laws under Article 6,

 

Whereas, the Association is governed by the By-Laws of the organization and these By-Laws, from time to time may require amending, and

 

Whereas, the Association, its members and guests are additionally governed by the CC&Rs, which from time to time may require amending, and

 

Whereas, the Association desires to establish a set of rules as set forth in CC&R paragraph 4.13, and

 

Whereas, these rules, from time to time may require modifications, additions or deletions,

 

Now Therefore Be it Resolved:

 

West Hayden Island Moorage Owners Association establishes a By-Laws, CC&R and Rules standing committee that shall do the following:

 

1.      Evaluate, Report and Recommend to the Board of Directors additions or amendments to the By-Laws of the Association to be voted on by the general membership.

2.      Evaluate, Report and Recommend to the Board of Directors additions, deletions or amendments to the CC&Rs of the Association to be voted on by the general membership.

3.      Develop, Report and Recommend to the Board of Directors a set of rules to supplement the CC&R for Board adoption.

4.      Evaluate, Report and Recommend to the Board of Directors additions, deletions or amendments to the set of rules.

5.      Receive, evaluate and formulate resolutions for recommendations received by the association concerning modifications to the By-Laws, CC&Rs and Rules.

 

 


 

RESOLUTION # 4

 

STANDING COMMITTEE RESOLUTION

Violation and Adjudication Standing Committee

 

RECITAL:

 

West Hayden Island Moorage Owners Association desires to institute a standing committee for Adjudication within the guidelines of the By-Laws under Article 6,

 

Whereas, the Association has promulgated a set of Covenants, Conditions, Restrictions and Easements (CC&R) and a set of rules, and

Whereas, from time to time these CC&Rs and Rules may be violated by the members or members guests, and

Whereas, these violations may be reported by other members, and

Whereas, the Association desires to follow a set of procedures in cases of violations, and

Whereas, the Association desires to act in a fair and impartial way concerning these violations, and

Whereas, the Association desires to take action regarding these violations for the common good of the Association and it’s members,

 

 

Now Therefore Be it Resolved

 

West Hayden Island Moorage Owners Association establishes a Violation and Adjudication Standing Committee that shall do the following:

 

1.      Formulate, report and recommend procedures to follow in adjudicating violations of the CC&Rs and Rules to the Board of Directors for adoption.

2.      Evaluate and recommend additions, deletions, and amendments to the procedures to the Board of Directors for adoption.

3.      Receive complaints of violations of the CC&Rs and Rules of the Association.

4.      Evaluate and report on the findings of complaints.

5.      Make recommendations to the Board of Directors of action regarding adjudicated complaints.

 


 

RESOLUTION # 5

 

STANDING COMMITTEE RESOLUTION

      Date Passed: April 17, 2005

 

Architectural Review Committee

 

RECITAL:

 

West Hayden Island Moorage Owners Association desires to institute a standing committee for Architectural Review within the guidelines of the By-Laws under Article 6,

 

Whereas, the Association has promulgated a set of Covenants, Conditions, Restrictions and Easements (CC&R) which identify a requirement to review for approval, the architectural design of a floating home to be moved into the moorage, and

Whereas, these CC&Rs address the requirement to review for approval any modification to an existing floating home attached to the moorage, and

Whereas, a set of Rules describing the limitations and restrictions that are required of a floating home to meet the Architectural Review need developing, and

Whereas, the Association requires a standing committee to perform the assigned duties of the Architectural Review Committee

 

 

Now Therefore Be it Resolved

 

West Hayden Island Moorage Owners Association establishes an Architectural Review Standing Committee that shall do the following:

 

1.      Formulate, report and recommend procedures to follow in the Architectural Review process to the Board of Directors for adoption.

2.      Evaluate and recommend additions, deletions, and amendments to the procedures to the Board of Directors for adoption.

3.      Receive requests for the Architectural Review of floating homes to be moved into the moorage.

4.      Receive requests for the Architectural Review of modification to existing floating homes within the moorage.

5.      Review Architectural plans on floating homes to be moved into the moorage and on modifications to existing floating homes within the moorage.

6.      Notify the owner of any additional requirements that may be identified in the process of reviewing the plans, and report the same to the Board of Directors.

 

 


 

RESOLUTION # 6

 

RESOLUTION TO ENFORCE THE INTENT OF THE CC&RS

RECITAL:
